Please read these terms and conditions (“Terms”) carefully before accessing or using the Platform (defined hereinafter). These Terms along with the Privacy Policy published on the Platform (“Privacy Policy”) and other policies (as may be notified/displayed/published on the Platform) constitutes the contract between the Users of this Platform and the Company (collectively “Agreement”). By use of the Platform, Users agree to be bound by these Agreement as posted on the Platform from time to time.

1. ABOUT THE TERMS

  • Glidebuy.in is an e-commerce platform (“Platform”) where registered sellers (“Sellers”) can offer their products to registered users of the Platform (“Users”).
  • The Platform, including the website at www.glidebuy.in (“Website”), is operated by Glidebuy Technologies Private Limited (“Company”).
  • The Company’s role is to manage the Platform, handle associated marketing, facilitate payment processing, order fulfillment, customer inquiries, and other incidental services to facilitate transactions between Sellers and Users (“Services”).
  • Services are exclusively available on the Platform, and to access them, Users are required to register on the Website or install the Application.

1.2 When are these Terms applicable and binding on Users?

  • These Terms of Service are applicable to any individual who visits, accesses, or utilizes any part of the Platform, including but not limited to browsers, Sellers, buyers, merchants, or contributors of content (collectively referred to as “Users”).
  • The Agreement between Users and the Company becomes effective upon accessing the Website or installing the Application, and also upon any updates to these Terms of Service, creating a legally binding agreement between the User and the Company.

1.3 Can the terms of this Agreement be modified?

  • Users can access the most current version of the Terms of Service on the Website. The Company reserves the right to unilaterally update, modify, or replace any part of the Terms of Service by publishing updates or changes on the Platform. Any amended provisions shall be effective immediately upon posting.
  • Users are responsible for regularly reviewing these terms for changes. Continued use of the Platform following the posting of any changes constitutes acceptance of those changes.

1.4 What if the terms of the Agreement are not acceptable to Users?

  • If Users do not agree with the terms of the Agreement, they are advised to refrain from using the Platform. By using the Services, Users signify their agreement to abide by the terms of the Agreement, as updated periodically.”

2. ACCOUNT REGISTRATION, SUSPENSION AND TERMINATION

2.1 Does a User necessarily need to create an account on the Platform?

  • Users must register to access the Services on the Platform. Registration involves creating an account to become a member, exclusively for buying or selling products, subject to this Agreement and non-transferable.

2.2 For the use of Platform, is a User subject to any eligibility criteria?

  • Services on the Platform are available to Users who can legally form contracts under the Indian Contract Act, 1872, and are at least eighteen (18) years old.
  • The Company reserves the right to terminate a User’s account and/or deny access to the Platform if the User fails to meet these conditions. Users represent and warrant their right to access or use the Platform.

2.3 Are there any specific requirements for registering an account on the Platform?

  • Users must provide a valid phone number during registration, consenting to be contacted by the Company via various means for updates or promotions. Users can opt out of such communications.
  • Users must ensure their phone number is correct for effective communication. If a communication fails due to incorrect information, the Company is not liable.
  • Users must provide accurate, current, and complete information during registration and update it as necessary.

2.4 Can User accounts registered on the Platform be suspended or terminated?

  • The Company may suspend or terminate accounts or access to Services (or any part thereof) on the Application, including blocking amounts due to the User, without notice if:
  • Information provided during registration is inaccurate, outdated, or incomplete.
  • The User:
    • Charges unreasonably high prices.
    • Has a high number of returns or cancellations.
    • Engages in unlawful, fraudulent, negligent, or derogatory actions.
    • Fails to comply with the Agreement or applicable law.
    • User is non-compliant with the Agreement.
  • The Company may pursue legal action for violations, at its discretion.
  • In case of alleged fraud or breach, the Company may withhold amounts payable to the User and impose penalties, setting off such penalties from payable amounts.

2.5 What are User obligations vis-à-vis its registered account on the Platform?

  • User accounts authenticate their actions, making Users responsible for all activities under their account, intended for legitimate business purposes.
  • Users must keep account information confidential and notify the Company of any unauthorized use or security breaches.
  • Users understand they have no ownership rights to their account and must comply with the Company’s terms.
  • Users receive password-protected accounts and agree to:
  • Maintain password confidentiality.
  • Take responsibility for all activities under their account.
  • Report unauthorized account use or breaches.
  • Log out after each session.

3. PLACING ORDERS AND FINANCIAL TERMS

3.1 How does order placement work on Glidebuy.in?

  • Customers visiting Glidebuy.in can explore a wide range of products listed by various sellers on the platform. Upon finding a desired product, customers can initiate the order placement process.
  • Once a customer selects a product and proceeds to checkout, Glidebuy.in facilitates the order placement by transmitting the order details to the respective seller.
  • Upon receiving the order, Glidebuy.in electronically confirms it to both the seller and the customer. This confirmation includes essential details such as order summary, estimated delivery date, and any other relevant information.
  • Glidebuy.in may also notify customers about the availability, unavailability, or changes in the price of the ordered items as communicated by the seller.
  • It’s important for customers to provide accurate shipping and contact information to ensure smooth order processing and delivery.

3.2 How are the commercial terms fixed on Glidebuy.in?

  • Commercial and contractual terms, including pricing, delivery schedules, and product warranties, are negotiated directly between sellers and customers.
  • Glidebuy.in does not interfere with or determine these terms but provides a platform for sellers and customers to transact.
  • In cases where deliveries are handled by third-party delivery partners, Glidebuy.in acts solely as a service provider, facilitating the delivery process without influencing commercial terms between the delivery partners and customers.
  • Policies regarding returns, refunds, and cancellations are clearly outlined on Glidebuy.in and may be updated periodically. Customers are encouraged to review these policies before making a purchase.
  • Glidebuy.in reserves the right to modify these policies as necessary, without prior consent from customers, to ensure the smooth operation of the platform and compliance with relevant regulations.

3.3 How does payment and settlement of payment work on Glidebuy.in?

  • Glidebuy.in may, upon request from the seller, act as a payment agent for the limited purpose of accepting payments on behalf of the seller.
  • Customers may need to provide payment-related information, such as credit card details or bank account information, to Glidebuy.in or third-party payment processors for transaction processing.
  • It’s important for customers to review and understand the terms and conditions governing payment processing, including any fees or charges that may apply.
  • Glidebuy.in collects payments from customers on behalf of the seller. However, the determination of applicable taxes and levies, as well as the manner of their applicability, is the responsibility of the seller.
  • Transactions on Glidebuy.in are bilateral agreements between sellers and customers. Glidebuy.in does not charge or deposit any taxes applicable to these transactions unless explicitly required by law.

3.4 Does Glidebuy.in charge Customers for Services provided on the Platform?

  • Some services offered on Glidebuy.in may require payment of charges, the rates of which are determined at the sole discretion of Glidebuy.in and are subject to customer approval at the time of purchase.
  • Glidebuy.in reserves the right to revise these charges at any time without prior notice, with the applicable charges being those displayed at the time of purchase.

3.5 Is Customer registration under applicable tax laws required for transacting on Glidebuy.in?

  • Glidebuy.in does not assume any responsibility for customers’ tax obligations arising from their use of platform services.
  • Customers are advised to seek independent tax advice regarding their registration and compliance obligations under applicable tax laws, including GST laws, if applicable.

4. USE OF THE PLATFORM

4.1 Availability and Access to the Platform

  • Glidebuy.in strives to maintain 24/7 availability of the platform. However, we do not guarantee uninterrupted, error-free access and usage due to factors like internet connectivity, telecommunication links, and potential technical issues.
  • Users are responsible for the costs associated with accessing the platform, including internet and data charges.
  • Compatibility with all hardware and software cannot be assured. Glidebuy.in may undergo upgrades, and some features may not be fully operational at times.
  • The platform is provided on an “as is” and “as available” basis. Glidebuy.in disclaims all warranties regarding the availability and functionality of the platform.
  • Users are solely responsible for any damage to their data systems or loss of data resulting from downloading content from the platform. Guidance or information provided by Glidebuy.in does not constitute a warranty unless explicitly stated.

4.2 Performance Guarantee and Transaction Responsibilities

  • Glidebuy.in serves as a facilitator for transactions between suppliers and users. We do not guarantee the performance of any transaction or the conduct of suppliers.
  • The platform does not represent users or suppliers and disclaims liability for any errors or inconsistencies in the information displayed.
  • Glidebuy.in does not verify the specifics of items listed by users and disclaims liability for any misuse of information shared on the platform.
  • Users acknowledge that Glidebuy.in is not an arbitrator of disputes and cannot verify the rights of suppliers to sell products.
  • Glidebuy.in does not take possession of products offered on the platform and disclaims responsibility for damages or delays related to product availability.

4.3 Platform Usage Restrictions and User Compliance

  • Users must not use the platform to host, display, or transmit any prohibited content, including but not limited to harmful, harassing, or illegal material.
  • Compliance with applicable laws and regulations, including those related to intellectual property rights, is required when using the platform.
  • Users must ensure that all information provided during registration is accurate and lawful.
  • Unauthorized use of another person’s account or posting of harmful software is prohibited.
  • Users must not interfere with the proper functioning of the platform or attempt to gain unauthorized access.
  • Glidebuy.in reserves the right to disable user accounts for non-compliance with these terms and conditions.

5. FAIR USAGE POLICY

At Glidebuy.in, we are committed to providing the best possible experience for all our customers. To ensure fair usage of our platform and maintain a positive environment, we monitor customer behavior, including order history and usage patterns. In cases where there is evidence of misuse or abuse of our platform, such as excessive returns, refusal to accept shipments, or involvement in fraudulent activities, we reserve the right to take appropriate action.

  • Refund Restrictions: Users exhibiting suspicious behavior may have their refund claims blocked or restricted.
  • Product Return: We may restrain or refuse the option to return products for users who engage in abusive behavior.

Customers with a history of valid transactions and positive engagement on the platform may receive benefits from suppliers at their discretion. These benefits are offered based on individual supplier policies.

By adhering to fair usage guidelines, we aim to maintain a trustworthy and enjoyable shopping experience for all our users.

6. ACCURACY AND COMPLETENESS OF INFORMATION ON PLATFORM

6.1 Accuracy and Completeness of Information

  • We at Glidebuy.in strive to maintain the accuracy of information on our platform to the best of our abilities. However, users should understand that the material and content provided on the platform are for general information only. It should not be solely relied upon for making decisions without consulting primary, more accurate, more complete, or timely sources of information. The majority of content, including products displayed on the platform, are provided by respective suppliers, who are responsible for the accuracy of the information related to their listed products.

We reserve the right to correct any errors, inaccuracies, or omissions without prior notice.

We do not provide any warranty, express or implied, including warranties of performance, merchantability, and fitness for a particular purpose.   • Not all information on the platform is provided by Glidebuy.in. Suppliers who are users of the platform may provide information related to the products they intend to sell. Suppliers are responsible for ensuring the accuracy of this information and are discouraged from misleading users in any manner.
  • While we reserve the right to monitor materials posted on the platform, we may remove or edit any content that violates applicable laws or the spirit of our terms. However, we do not assume responsibility or liability for any content posted by users.
  • Suppliers are solely responsible for the correctness of details related to the products they offer for sale on the platform, including quality and saleability. We do not implicitly or explicitly endorse the sale or purchase of any products and do not provide any warranty or guarantee for products sold by users on the platform.
  • Glidebuy.in is not responsible for any inaccuracies, incompleteness, or outdated information provided by users, including suppliers, on the platform. Users should exercise caution and verify information independently before making any decisions based on the information available on the platform.

7. LISTING AND SELLING

7.1 Additional Terms for Suppliers

  • In addition to the terms outlined in this Agreement, suppliers are required to abide by the applicable laws of India, including but not limited to:
  • The Legal Metrology Act, 2009, and Legal Metrology (Packaged Commodities) Rules, 2011.
  • Drugs and Cosmetics Act, 1940, and Drugs and Cosmetics Rules, 1945.
  • The Consumer Protection (E-Commerce) Rules, 2020.
  • Food Safety and Standard Act, 2006, along with relevant regulations such as Packaging and Labelling Regulation, Food Product Standard and Food Additive Regulation, and Food or Health Supplements Regulation.
  • Suppliers must ensure compliance with packaging, labelling, and other legal requirements for their products as per the aforementioned laws. The responsibility for compliance rests solely with the supplier, and the company shall not be held liable. Suppliers agree to indemnify the company and the platform for any harm or loss resulting from non-compliance with regulations or laws.

7.2 Product Listing Guidelines

  • Suppliers are permitted to list their products for sale on the application in accordance with the terms outlined in this Agreement and any other contracts with the company.
  • By listing products on the platform, suppliers represent and warrant that they have the legal authority to sell the products and that the listed items do not infringe upon the intellectual property or other proprietary rights of any third party. Suppliers must refrain from using third-party images without consent. The company is not responsible for any breach of this provision by suppliers or users.

8. USER INFORMATION AND THIRD-PARTY TOOLS/LINKS

8.1 Collection and Handling of User Information

  • The company collects various types of information from users, including both non-personal and personal information.
  • All user information collected, stored, or transmitted on the platform is processed to facilitate various operations, such as registration, order placement, listing, or payments.
  • Users are encouraged to review the platform’s Privacy Policy for a more comprehensive understanding of how their information is handled.

8.2 Use of Third-Party Tools

  • The company may provide users with access to third-party tools on the platform, over which the company has no monitoring or control. Users acknowledge that access to such tools is provided on an ‘as is’ and ‘as available’ basis, without any warranties, representations, or conditions.
  • Any use of optional third-party tools offered through the platform is entirely at the user’s own risk and discretion. Users are responsible for ensuring they are familiar with and agree to the terms provided by the relevant third-party providers.
  • New features introduced through the platform may include the use of new third-party tools and resources, subject to this Agreement. Concerns or questions regarding third-party tools or websites should be directed to the third-party.

8.3 Use of Third-Party Links and Tools

  • Certain content or products available on the platform may include materials from third parties. Third-party links on the platform may direct users to websites not affiliated with the company.
  • The company is not responsible for examining or evaluating the content or accuracy of third-party materials or websites. Users are advised to review third-party policies and practices before engaging in any transactions.
  • The company disclaims any liability for harm or damages related to the purchase or use of goods, services, or content from third-party websites, regardless of the presence of third-party links on the platform. Users should exercise caution and review third-party policies before engaging in transactions.

9. INTELLECTUAL PROPERTY (IP) AND IP INFRINGEMENT

9.1 Use of Content and Trademarks

  • Users are prohibited from using any trademark, service mark, or logo of independent third parties without prior written approval.
  • The trademarks ” Glidebuy.in ” and related icons and logos, whether registered or unregistered, belong to the Company and are protected under applicable copyright, trademark, and other intellectual property laws. Unauthorized adoption, copying, modification, use, or publication of these marks is strictly prohibited.
  • Users must not modify or use any materials from the platform for commercial purposes without obtaining a license from the Company.
  • The platform may include security components protecting digital materials, and users agree not to interfere with these security measures.

9.2 Handling of IP Infringement

  • Trademarks, word marks, or intellectual property of any users or suppliers belong solely to them, and the Company has no claim over them.
  • The Company reserves the right to remove any material or content displayed on the platform if it violates the Agreement or is deemed unlawful or inappropriate.
  • The Company may suspend or terminate user accounts as deemed appropriate, with no liability to the users.
  • The Company encourages users to assist in identifying listings on the platform that infringe their rights or third-party rights.
  • Delisting a product does not imply endorsement of an infringement claim, and declining to remove a listing does not imply endorsement of its non-infringement.
  • Users are advised to review the Intellectual Property Policy on the platform for more information.

10. DISCLAIMER AND LIABILITIES

10.1 Standard Disclaimers

  • The Company shall not be liable for any special, incidental, indirect, consequential, exemplary, or punitive damages, whether based on contract, negligence, or any other legal theory, arising from the use of the platform.
  • Users are solely responsible for any damages incurred from the use of the platform, including financial losses or loss of data, even if advised of their possibility.
  • Users are responsible for any damages to their data system or loss of data resulting from downloading content from the platform.
  • Suppliers are solely responsible for the accuracy of product information, and users are responsible for using the products safely and legally.

10.2 Disclaimers Regarding Advertisements

  1. The Company does not endorse the accuracy or reliability of advertisements on the platform and accepts no liability related to them.
  2. Advertisements are created and controlled by third-party advertisers, and the Company accepts no responsibility for their content or products/services.
  3. User dealings with advertisers on the platform are solely between the user and the advertiser, and the Company is not liable for any resulting losses or damages.
  4. Clicking on advertisement links may redirect users to third-party websites, and the Company bears no responsibility for the content or actions of these websites.
  5. The Company disclaims any liabilities related to advertisements on the platform, including misleading content or non-compliance with applicable laws.

10.3 Disclaimers Regarding Other Advertisements

  • Images and deals/discounts in other advertisements are for illustrative purposes and may vary from actual products or offers.
  • Prices and offers mentioned in other advertisements may vary based on user-specific factors and are subject to change without notice.
  • Scenes and characters in brand films/videos are fictional and for representational purposes only.
  • Glidebuy.in and/or suppliers reserve the right to amend or discontinue offers/deals/discounts at their discretion without prior notice.
  • Glidebuy.in accepts no responsibility for inaccuracies in data displayed in other advertisements.

10.4 Force Majeure Event

  • The Company is not liable for any damages arising from force majeure events or other circumstances beyond its control, including epidemics, government actions, or natural disasters.
  • In such events, the Company may suspend or limit platform services until further notice.

10.5 User Liability for Damages

  • Users are liable for any damages resulting from their breach of the agreement, violation of third-party rights, or violation of applicable laws.
  • Users indemnify the Company against any losses, claims, or expenses arising from their use of the platform or any claims made by third parties.

11.3 Company Contacting Users

  • Notices to users are effective if delivered personally, sent by courier, certified mail, fax, or email to the last-known correspondence address provided by the user on the Platform.
  • Notices are deemed received when sent to the address, email, or other communication details provided by the user at the time of registration or immediately upon publishing on a publicly accessible area of the Platform.

12. MISCELLANEOUS PROVISIONS APPLICABLE TO AGREEMENT

  • This Agreement is governed by the laws of India, and any legal proceedings shall be subject to the jurisdiction of the courts at Ernakulam, Kerala, India.
  • The Company reserves the right to assign its obligations and duties in this Agreement to any person or entity.
  • The failure of the Company to exercise any right or provision of this Agreement shall not constitute a waiver of such right or provision.
  • The Platform is controlled and operated from India, and users accessing it from outside India do so at their own risk, agreeing to comply with all applicable local laws.
  • The Company reserves the right to introduce new features, modify existing ones, or discontinue services without prior notice.
